10. Governing Law and Jurisdiction

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Calgary, Alberta, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

11. Dispute Resolution

11.1 Informal Resolution

If you have any dispute with us, you agree to first contact us and attempt to resolve the dispute informally. We will attempt to resolve any dispute through informal negotiation within 30 days.

11.2 Arbitration

If we cannot resolve a dispute through informal negotiation, any remaining dispute shall be resolved through binding arbitration in accordance with the Arbitration Act of Alberta. The arbitration will be conducted in Calgary, Alberta, in the English language.

12. Termination

We reserve the right to terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Site will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid provision will be replaced with a valid provision that most closely matches the intent of the original provision.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Mellowhike regarding the use of the Site and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
